1. General
All deliveries and services on my part are provided only subject to my following sales conditions. I do not accept purchasing conditions. All agreements contrary to my terms, including those with my representatives, are void without my express written consent; oral ancillary agreements are ineffective. All orders are only binding upon my written order confirmation.
2nd prices
The prices given are subject to change and are ex works, excluding packaging, customs and insurance. They only apply to the contract concluded in each case. Unless the type of shipment is required, it will be delivered as cheaply as possible, at my discretion. The risk is transferred to the customer upon departure of the goods from the factory, even in the case of freight-free delivery.
3. Delivery times
Delivery times given are non-binding and are only to be understood as an approximate delivery time. The delivery time is calculated from the date of order confirmation. Cases of force majeure, lack of raw and auxiliary materials, incorrectly submitted drawings, delays in production that occur through no fault of mine entitle me to extend the delivery time agreement received accordingly or, if circumstances so require, to cancel the delivery obligations in whole or in part.
4th payment
Payments must be made to me in cash or by check or by timely transfer to my account, within 10 days from the date of the invoice with a 2% discount, within 30 days without deduction. In the event of late payment, interest of 2% above the respective state central bank discount rate may be calculated subject to the assertion of further damage. If the customer stops payment, my claim will be due immediately in any case.
5. Retention of title
Delivered goods remain my property until all my claims against the customer have been met in full, including the settlement of any current account credit that may have been borne by the customer. The assertion of retention of title is not considered a withdrawal from the contract; compensation for any resulting damage may be claimed.
6. Complaints
The customer must check the delivered goods immediately upon receipt. Complaints must be notified in writing within 8 days of delivery. Defects reported in due time can only be considered by me if the customer proves that the defect is not due to incorrect installation, improper treatment or natural wear and tear. In the event of justified complaints, a credit note will be issued after the faulty parts have been returned. Conversion or reduction without returning the goods is only possible after my written confirmation. Further claims — such as claims for damages — are excluded.
7. Place of fulfilment
The place of fulfilment for both parties is Wittgert, the place of jurisdiction for both parties is the Montabaur District Court.
